This Privacy Policy explains how ClinicOps ("ClinicOps," "we," "us," or "our") collects, uses, discloses, and protects information in connection with our website and the tools offered through it (together, the "Site"). ClinicOps provides operations consulting to independent medical practices in the United States. Please read this Policy carefully. By using the Site, you acknowledge that you have read and understood it.

1. Scope of this Policy

This Policy applies to information collected through the Site, including our contact forms and the Practice Audit tool. It does not apply to information handled under a separate written services agreement with a client, which is governed by that agreement and any associated data-processing or business-associate terms. It also does not apply to third-party websites or services we link to.

2. Information we collect

Information you provide

When you complete the Practice Audit, request materials, or contact us, we collect the information you choose to submit, which typically includes your name, business email address, telephone number, practice name or size, and the answers and estimates generated by the tool. We collect only what you give us.

Information collected automatically

We use Google Analytics 4 and Microsoft Clarity to understand how the Site is used and how it performs. These tools collect standard, largely aggregate analytics such as the pages you visit, approximate (city-level) location, device and browser type, and how you arrived at the Site. Microsoft Clarity may also record anonymized session replays and heatmaps of on-page interactions; it masks sensitive content, including anything you type into forms, by default, so the details you enter are not captured in these recordings. Our web host also keeps standard server logs (such as IP address and request data) for security and operational purposes.

Information we do not want

Do not submit protected health information (PHI) or patient records through this Site. The Site and its tools are intended for information about your practice's operations, not about patients. If you send us PHI through the Site, you do so against our instructions, and we will delete it once identified.

3. How we use information

• To provide the Practice Audit results and any report, reply, or materials you request.
• To respond to your inquiries and, where your information suggests we may be able to help, to follow up with you once about a possible engagement. You may opt out of these communications at any time.
• To operate, maintain, secure, and improve the Site and our educational content, using aggregate analytics.
• To comply with applicable law and to protect our rights, our users, and the public.

Where required by law, our legal bases for processing include your consent, our legitimate interest in operating and improving our business, and compliance with our legal obligations.

4. How we disclose information

We do not sell, rent, or trade your personal information, and we do not share it for cross-context behavioral advertising. We disclose information only in these limited circumstances:

• Service providers. We use a small number of trusted vendors to run the Site and communicate with you, including our website host and form processor, our scheduling provider (if you book a call), and our email provider. They may process your information only as needed to perform services for us and under obligations of confidentiality.
• Legal and safety. We may disclose information if required by law, subpoena, or legal process, or where we reasonably believe disclosure is necessary to protect our rights, enforce our terms, or protect the safety of any person.
• Business transfers. If ClinicOps is involved in a merger, acquisition, financing, or sale of assets, information may be transferred as part of that transaction, subject to this Policy.

5. Cookies and tracking

This Site uses a small number of first-party analytics cookies set by Google Analytics and Microsoft Clarity, and it shows a brief cookie notice on your first visit. We do not use advertising or cross-site retargeting cookies. You can opt out of Google Analytics with Google's opt-out browser add-on, opt out of Clarity by clearing or blocking cookies, and control cookies generally through your browser settings. Because there is no common industry standard for browser "Do Not Track" signals, we do not respond to them; our practices are, however, designed to minimize tracking regardless.

6. How long we keep information

We retain the information you submit only for as long as necessary to respond to you, to maintain a business relationship you have asked for, and to meet our legal and record-keeping obligations. When it is no longer needed, we delete or de-identify it. You may ask us to delete your information sooner, as described below.

7. How we protect information

We use reasonable administrative, technical, and organizational safeguards designed to protect the information we hold, including encryption in transit and access controls. No method of transmission or storage is perfectly secure, however, and we cannot guarantee absolute security.

8. Your privacy rights

Depending on where you live, you may have the right to request access to the personal information we hold about you, to correct or delete it, to opt out of further contact, and to receive a copy of it. Residents of California and certain other states have additional rights under laws such as the California Consumer Privacy Act, as amended by the California Privacy Rights Act, including the rights to know, delete, and correct personal information and the right not to be treated differently for exercising them. Because we do not sell or share personal information for advertising, no opt-out of sale is necessary.

To exercise any of these rights, email jareer.ali@clinicops.us. We will verify your request using the information you provide and respond within the timeframe required by applicable law. You may authorize an agent to act on your behalf.

9. Medical practices and HIPAA

ClinicOps is an operations consultant. Through this Site we do not act as a HIPAA "covered entity" or "business associate," and the Site is not intended to receive protected health information. If we are engaged to provide services that involve access to PHI, that relationship is governed by a separate written agreement, including a Business Associate Agreement where required by the Health Insurance Portability and Accountability Act.

10. Third-party links

The Site may link to third-party websites and tools, such as our scheduling provider. We are not responsible for the privacy practices of those third parties, and we encourage you to review their policies.

11. Children's privacy

The Site is intended for business users and is not directed to children. We do not knowingly collect personal information from anyone under the age of 16. If you believe a child has provided us information, please contact us and we will delete it.

12. Changes to this Policy

We may update this Policy from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Site after an update indicates your acceptance of the revised Policy.

By accessing or using this Site, you agree to these Terms of Use. If you do not agree, please do not use the Site.

Informational purpose

The Site provides general information about ClinicOps and free tools such as the Practice Audit. The audit and any estimates are directional, based on typical industry figures, and are provided for general guidance only. They are not an appraisal, a promise of results, or professional advice about your specific practice.

No professional advice; no relationship

Nothing on this Site is medical, legal, billing, tax, or financial advice, and nothing here creates a consulting or professional relationship. A relationship with ClinicOps arises only when we both sign a written services agreement.

Your submissions

When you submit information through the Site, you represent that it is yours to share and that it contains no patient or other protected health information. You are responsible for the accuracy of what you submit.

Intellectual property

The content, guides, tools, and templates on this Site are owned by ClinicOps and protected by applicable intellectual-property laws. You may read and share links to our content, but you may not copy, resell, or create derivative works from it without our written permission.

Disclaimers and limitation of liability

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. To the fullest extent permitted by law, ClinicOps will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of, or inability to use, the Site or its tools.

Governing law

These Terms are governed by the laws of the United States and of the state in which ClinicOps is established, without regard to conflict-of-laws principles. Any dispute will be brought in the courts located there.
